Terms of Service

These Terms of Service ("Terms") govern your use of Clid Business, a platform operated by Zylink Corp ("we," "us," "our") that enables Nigerian businesses to build, host, and manage online stores, websites, and applications. By creating an account or using our services, you agree to these Terms.

1. Who Can Use Clid Business

You must be at least 18 years old and legally able to enter into contracts under Nigerian law to use Clid Business. If you are using Clid Business on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

You must provide accurate information when signing up, including your real name, business name, and bank account details for Flutterwave payment settlement.

2. Your Account

You are responsible for keeping your account credentials secure. You are also responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at security@zylinkcorp.com.ng.

You may invite developers or staff to access your workspace as collaborators. You are responsible for their actions within your workspace. You can revoke their access at any time from your dashboard.

3. Your Store and Content

You own all content you upload to Clid Business, including product listings, images, descriptions, customer data, and business information. We do not claim ownership of your content.

You confirm that:

• You have the right to sell the products or services you list on your store.
• Your product descriptions, images, and pricing are accurate.
• You comply with all applicable Nigerian laws, including consumer protection regulations, tax requirements, and product safety standards.
• You do not sell illegal, counterfeit, or prohibited items.

4. Payments and Flutterwave

Clid Business integrates with Flutterwave to process payments from your customers. When a customer pays on your store:

• Flutterwave processes the payment and deducts their transaction fee (currently 1.4% for local cards).
• The remaining amount is settled directly to your bank account, typically within 1 business day (T+1).
• Clid Business does not hold, touch, or intermediate your customer payments. We are not a payment processor.

Refunds to customers are handled through Flutterwave. Clid Business facilitates the refund process through your dashboard but is not responsible for the timing or success of refunds, which are subject to Flutterwave's policies and your bank's processing times.

5. Subscription and Billing

Clid Business operates on a monthly subscription model. Your chosen plan (Starter, Business, or Managed) is billed monthly in Naira via Flutterwave.

• Your subscription renews automatically each month.
• You can cancel at any time. Your store remains active until the end of your current billing period.
• If payment fails, we will attempt to retry the charge. After 3 failed attempts, your store will be temporarily deactivated until payment is made.
• Your data is retained for 30 days after cancellation. After 30 days, your store, products, orders, and customer data will be permanently deleted.

6. Acceptable Use

You agree not to:

• Use Clid Business to sell illegal goods, counterfeit products, weapons, drugs, or any prohibited items under Nigerian law.
• Engage in fraud, money laundering, or any financial crime.
• Upload malicious code, viruses, or attempt to hack the platform.
• Scrape, copy, or redistribute content from other Clid Business stores.
• Use the platform to send spam or unsolicited commercial messages.
• Impersonate another business or person.

If we find that you have violated these rules, we may suspend or terminate your account immediately, without refund.

7. Developer Partner Program

If you participate in our Developer Partner Program, you earn a 15% recurring commission on every business you refer to Clid Business. Commission is paid monthly via Flutterwave transfer to your bank account.

• Commission is earned only on active, paid subscriptions.
• If a referred business cancels, your commission for that business stops.
• You must maintain a minimum payout threshold of N1,000 before a payout is triggered.
• You may not refer yourself or create fake accounts to earn commission.

8. Data and Privacy

We take your data and your customers' data seriously. Our Privacy Policy explains how we collect, use, and protect your information. Key points:

• Your customer data (orders, contacts, phone numbers) belongs to you. We do not sell or share it.
• We store data on encrypted servers with daily backups.
• You can export your data at any time.
• You can request deletion of your data, which we process within 30 days.

9. Service Availability

Clid Business runs on Cloudflare's global edge network with 300+ locations. We target 99.9% uptime. However, we do not guarantee uninterrupted service. Factors outside our control (internet outages, Flutterwave downtime, bank network issues) may affect your store's availability.

Managed plan customers have a 99.9% uptime SLA. If we fail to meet this, contact us for a service credit.

10. Limitation of Liability

Clid Business is provided "as is." We are not liable for:

• Lost revenue, lost profits, or lost customers due to service downtime.
• Failed or delayed payments due to Flutterwave or bank network issues.
• Data loss caused by your own actions (e.g., deleting products or customer records).
• Actions taken by your developers or staff members within your workspace.

Our total liability is limited to the amount you have paid us in the last 3 months of subscription fees.

11. Termination

You can cancel your subscription at any time from your dashboard. No questions asked, no cancellation fee.

We may terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay your subscription for 30 days.

Upon termination, your store goes offline immediately. Your data is retained for 30 days, then permanently deleted.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before any changes take effect. Continued use of Clid Business after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Rivers State, Nigeria, unless otherwise agreed in writing.
